Terms of Service

Acceptance of Terms

By accessing or using the services provided by Systems to Scale, LLC (“Company,” “we,” “our,” or “us”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

Services Description

Systems to Scale, LLC operates a VA Agency Division that provides virtual assistant matching and management services to business owners and entrepreneurs (“Services”). Our services include:

  • VA matching and consultation services
  • Ongoing VA management and support
  • Business process consultation
  • Related administrative and operational support services

Service Agreement and Payment Terms

VA Matching Fee

  • A one-time $500 matching fee is required to begin the VA matching process
  • This fee covers our comprehensive assessment, matching process, and initial onboarding
  • Refund Policy: The matching fee is refundable within 24 hours of payment, minus processing fees. After 24 hours, the matching fee is non-refundable

Monthly Service Packages

  • All VA services are provided through monthly retainer packages
  • Contract Period: All monthly services require a minimum 3-month commitment
  • Cancellation: After the initial 3-month period, either party may terminate the agreement with 30 days written notice
  • Payments are due monthly in advance
  • Late payments may result in service suspension

Client Responsibilities

As a client, you agree to:

  • Provide accurate information during the matching process
  • Communicate clearly and professionally with assigned VAs
  • Provide necessary access, tools, and resources for VAs to perform their duties
  • Respect agreed-upon boundaries and working arrangements
  • Pay all fees on time according to the agreed schedule
  • Provide feedback to help us improve services

VA Services and Limitations

Service Scope

  • VAs provide administrative, operational, and business support services
  • Specific services depend on the package selected and VA capabilities
  • All VAs are independent contractors, not employees of your business

Service Limitations

We cannot guarantee:

  • Specific business results or revenue increases
  • Compatibility with all business systems or processes
  • Availability during emergencies or outside agreed hours
  • Expertise in highly specialized or regulated fields

Quality Assurance

  • We carefully screen and match VAs based on skills and compatibility
  • If you’re not satisfied with your VA within the first 30 days, we’ll work to re-match you at no additional matching fee
  • Ongoing performance issues should be communicated promptly for resolution

Intellectual Property

Your Content

  • You retain ownership of all content, data, and materials you provide
  • By using our services, you grant us permission to use your content solely to provide services
  • We will not use your confidential information for any other purpose

Our Content

  • All materials, processes, and methodologies created by us remain our intellectual property
  • You may not reproduce, distribute, or create derivative works from our proprietary content

Confidentiality

We understand that you may share sensitive business information with us and our VAs. We commit to:

  • Maintaining strict confidentiality of all client information
  • Requiring all VAs to sign confidentiality agreements
  • Using information only for the purpose of providing services
  • Implementing reasonable security measures to protect data

Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for services in the preceding 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for actions or decisions made by VAs outside our direct control
  • Force majeure events (natural disasters, pandemics, etc.) may temporarily affect service delivery

Termination

Either party may terminate this agreement:

  • With cause (breach of terms) immediately upon written notice
  • Without cause after the initial 3-month period with 30 days written notice
  • Upon termination, all outstanding fees become immediately due

Dispute Resolution

  • Any disputes will first be addressed through good faith negotiation
  • If unresolved, disputes will be resolved through binding arbitration in South Carolina
  • These terms are governed by South Carolina law

Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients with 30 days notice. Continued use of services after changes constitutes acceptance of new terms.

Entire Agreement

These Terms, along with any signed service agreements, constitute the entire agreement between you and Systems to Scale, LLC regarding our services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
